1. Acceptance of Terms
These Terms of Service ("Terms") form a binding agreement between you ("Client," "you," or "your") and Forge Flow Labs LLC ("ForgeFlow," "we," "us," or "our"), a Texas limited liability company based in Dallas, Texas.
By visiting forgeflowlabs.com (the "Website"), signing a proposal or order form, or otherwise engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Website or engage our services.
If you enter into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
2. Services Provided
ForgeFlow provides website design, development, hosting, maintenance, and AI automation services ("Services"), which may include but are not limited to:
- Custom website design and development
- Ongoing hosting, monitoring, and maintenance
- AI receptionist and voice agent setup
- Lead follow-up automations, SMS/email workflows, and CRM integrations
- Appointment reminders, review request automations, and operations reporting
- Strategy, audit, and consulting services
The specific Services to be delivered, including deliverables, timelines, and fees, will be set forth in a written proposal, statement of work, order form, or order confirmation (each, an "Order"). Each Order is incorporated into and governed by these Terms.
3. Client Responsibilities
To enable us to deliver the Services on time and on budget, you agree to:
- Provide accurate, complete information about your business, branding, and goals
- Supply content, assets, logins, and approvals within the timeframes we reasonably request
- Designate a primary point of contact authorized to make decisions and approve work
- Maintain valid payment methods on file and pay all fees when due
- Use the Services in compliance with all applicable laws, regulations, and platform policies
- Maintain backups of any content or data you submit to us, independent of our backups
Delays caused by missing content, approvals, or access on your part may extend timelines and are not the responsibility of ForgeFlow.
4. Fees and Payment
4.1 Fees
Fees for the Services are set forth in the applicable Order. Plans may include one-time setup fees, recurring monthly subscriptions, usage-based charges (e.g., voice minutes, SMS messages), or a combination of the above. All fees are stated in U.S. Dollars and are exclusive of applicable taxes.
4.2 Billing & Payment Method
Recurring subscriptions are billed monthly in advance via Stripe. You authorize us to charge your designated payment method on each renewal date. One-time fees are due as specified in the Order, typically 50% to begin work and 50% on delivery, unless otherwise agreed.
4.3 Non-Payment, Suspension, and Termination for Non-Payment
If a charge is declined or an invoice is unpaid, we will attempt to re-charge the payment method on file and notify you by email. If the balance remains unpaid:
- Past due more than 10 days — we may suspend Services. During suspension, your website may remain online but no further work, content edits, automation activity, or support will be performed until the balance is paid.
- Past due more than 30 days — we may terminate the engagement, take the website offline, deactivate hosted automations, and revoke access to the client portal. Any amounts billed up to the termination date remain due.
Reactivation after suspension may require payment of the full past-due balance and the upcoming billing period in advance. We do not charge percentage-based late fees.
4.4 Refunds
Recurring subscription fees are non-refundable for partial months. One-time project fees are non-refundable once work has begun, except as expressly stated in your Order.
4.5 Price Changes
We may change prices for recurring subscriptions with at least 30 days' prior written notice. If you do not accept the change, you may cancel before the new pricing takes effect.
5. Term, Minimum Commitment, and Cancellation
5.1 Minimum Term
All recurring subscription plans (including Starter, Professional, and Premium) carry a minimum commitment of three (3) months from the start date of the engagement, unless a different term is specified in your Order. This minimum reflects the front-loaded design, development, and onboarding work performed at the start of every engagement. During the minimum term, monthly fees remain payable in full even if you stop using the Services.
5.2 Month-to-Month After Minimum Term
After the minimum term ends, the subscription automatically continues on a month-to-month basis until canceled. Either party may cancel a month-to-month subscription with at least thirty (30) days' written notice. Cancellation takes effect at the end of the current paid billing period; no partial-month refunds are issued.
5.3 Early Cancellation
If you cancel before completing the minimum term, the remaining monthly fees for that minimum term become immediately due and payable as an early-termination amount. This is not a penalty; it covers labor already performed and labor reserved for the remainder of the term.
5.4 Termination for Cause
We may suspend or terminate Services immediately for: (a) material breach of these Terms that is not cured within ten (10) days of notice, (b) non-payment as described in Section 4.3, (c) unlawful or abusive use, or (d) any conduct that exposes ForgeFlow or its other clients to material risk.
5.5 Effect of Termination
Upon termination you will lose access to the client portal and any subscription-only features. We will retain a copy of your final deliverables for thirty (30) days after termination, after which we may delete them. Hosting termination will result in your site going offline unless you arrange to transfer it.
6. Intellectual Property
6.1 Client Materials
You retain all rights in materials you provide to us (logos, copy, photos, brand assets, etc.) and grant us a non-exclusive, worldwide license to use them solely to deliver the Services.
6.2 Deliverables
Upon receipt of full payment for an Order, you receive a non-exclusive, perpetual license to use the deliverables produced for you under that Order (websites, automations, configurations, copy) for your own business purposes.
6.3 ForgeFlow Tools
We retain all rights, title, and interest in our proprietary tools, templates, frameworks, source code, prompts, and methodologies, including improvements developed during your engagement. You receive no rights to these underlying tools beyond their use as embedded in your deliverables.
6.4 Portfolio Rights
Unless you specifically opt out in writing, we may display the name, logo, and screenshots of work delivered for you in our portfolio, case studies, and marketing materials.
7. AI Services Disclosures
Some Services use artificial intelligence ("AI") and large language models. You acknowledge:
- Outputs are not guaranteed. AI systems can produce inaccurate, incomplete, or biased responses. You are responsible for reviewing AI outputs before relying on them for business decisions.
- Voice agents are not humans. AI receptionists and voice agents will identify themselves as automated when reasonably required by applicable law (e.g., bot-disclosure statutes).
- Recording. Calls handled by AI voice agents may be recorded and transcribed. You are responsible for posting any consent disclosures required in your jurisdiction.
- Not a regulated professional. AI outputs do not constitute legal, medical, financial, or other professional advice.
8. Client Content and Acceptable Use
You represent and warrant that all content, data, and materials you submit to us: (a) are accurate, (b) do not infringe any third-party intellectual property, privacy, or publicity rights, (c) do not violate any law or regulation, and (d) are not defamatory, obscene, harassing, fraudulent, or otherwise unlawful.
You may not use the Services to: send unsolicited bulk messages outside the bounds of CAN-SPAM, TCPA, or similar laws; engage in deceptive practices; collect personal information without lawful basis; or interfere with the operation of the Services or our infrastructure. We reserve the right to suspend any automation that we reasonably believe is being used in violation of this section.
9. Third-Party Services
The Services rely on third-party platforms, including but not limited to Stripe (payments), Cloudflare (hosting/CDN), Supabase (data hosting), Retell AI (voice), Twilio (messaging), Google Workspace, and HubSpot. Your use of those platforms is subject to their respective terms and privacy policies. We are not responsible for the availability, performance, or actions of third-party providers, but will use commercially reasonable efforts to maintain functioning integrations.
10. Hosting & Uptime
Websites we host are deployed to commercial-grade infrastructure (such as Cloudflare Pages) which historically targets >99.9% availability. We do not provide a contractual uptime guarantee and are not liable for downtime caused by upstream providers, DNS issues outside our control, force majeure events, scheduled maintenance, or client-caused incidents. We will use commercially reasonable efforts to restore service promptly when interruptions occur.
11. Disclaimer of Warranties
THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, FORGEFLOW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY SPECIFIC BUSINESS RESULTS (LEADS, REVENUE, RANKINGS) WILL BE ACHIEVED.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, FORGEFLOW'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO FORGEFLOW DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE THOUSAND U.S. DOLLARS ($1,000).
IN NO EVENT SHALL FORGEFLOW BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13. Indemnification
You agree to defend, indemnify, and hold harmless ForgeFlow, its officers, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Services, (b) any content or data you provide, (c) your violation of these Terms, or (d) your violation of any law or third-party right.
14. Confidentiality
Each party may receive information that is confidential or proprietary to the other ("Confidential Information"). Both parties agree to use Confidential Information only to fulfill obligations under these Terms and to protect it with the same degree of care they use for their own confidential information (and no less than reasonable care). This obligation does not apply to information that is or becomes publicly known through no fault of the receiving party, was rightfully in the receiving party's possession before disclosure, or is required to be disclosed by law.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law principles. The parties agree to attempt to resolve any dispute through good-faith negotiation. If a dispute cannot be resolved within 30 days, the parties agree to non-binding mediation in Dallas County, Texas before resorting to litigation. Any litigation arising from these Terms shall be brought exclusively in the state or federal courts located in Dallas County, Texas, and each party consents to the personal jurisdiction of those courts.
16. Changes to These Terms
We may update these Terms from time to time. The "Last Updated" date at the top of this page reflects the most recent revision. Material changes will be communicated to active subscribers at least 30 days before taking effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
17. General Provisions
- Entire Agreement. These Terms and any executed Orders constitute the entire agreement between the parties with respect to the Services.
- Severability. If any provision is held unenforceable, the remaining provisions will continue in full force.
- No Waiver. A failure to enforce any right is not a waiver of that right.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force Majeure. Neither party is liable for failure to perform due to events beyond reasonable control (natural disasters, war, pandemics, outages by upstream providers, etc.).
- Independent Contractor. ForgeFlow is an independent contractor; nothing here creates a partnership, joint venture, or employment relationship.
